RESOLUTION NO. 4-06

A RESOLUTION PROVIDING FOR THE APPOINTMENT OF COMMISSIONER JAMES STRODE TO TRANSFER FUNDS BETWEEN ACCOUNTS TO MAKE PAYMENT OF PRINCIPAL AND INTEREST ON OUTSTANDING BONDS

WHEREAS, the Port of Manchester is a Port District organized and existing under the laws of the State of Washington, and

WHEREAS, the Port of Manchester has heretofore issued bonds for improvement projects within the Port boundaries, and

WHEREAS, payment of interest and principal is due on said bonds from time to time, and

WHEREAS, heretofore Commissioner James Thompson was appointed by the Port of Manchester with authority to transfer funds from one of the Port’s accounts to another to provide for payment on said bonds, and Commissioner Thompson has resigned his position, and

WHEREAS, Commissioner James Strode has been elected as President of the Board of Commissioners and will assume the responsibility to transfer funds between accounts of the Port to make payment on outstanding bonds, NOW THEREFORE

IT IS HEREBY RESOLVED AS FOLLOWS:

James Strode is hereby appointed to represent the Port in transferring funds between accounts held by the Port of Manchester to provide for payment of any and all obligations arising out of the issuance of bonds by the Port, and as such is authorized to do all things necessary to accomplish payment of said bonds as provided by said issuances.
